verify the site the server is in by 'nltest /dsgetsite' from the cmd prompt, and make sure domain controllers are in the site, up and running without issues.

Try opening the command prompt as administrator (run as administrator) and then run the setup if you haven't tried that already.

Yes i have 4 servers and all are running correctly!!!
i restart the server and run again PrepareAd look the message i got:

If you already have existing exchange 2010 server you can't / shouldn't use the /OrganizationName:domain switch in the preparead setup command. Try without that.
