Neither of the above ways will work.
Is C:\Exchange the folder where you have installed Exchange or the setup binaries?
PrepareAd must be run from the setup binaries and its not clear to me that you did that.
Example: C:\Temp\SP2> setup.com /PrepareAD

Try opening the command prompt as administrator (run as administrator) and then run the setup if you haven't tried that already.
Yes i have 4 servers and all are running correctly!!!
i restart the server and run again PrepareAd look the message i got:

I thought that you already had 4 Exchange 2010 servers installed in the domain?
Are you running the command in a site where there are global catalog servers?

Hi,
If you already have existing exchange 2010 server you can't / shouldn't use the /OrganizationName:domain switch in the preparead setup command. Try without that.

i'm facing a problem when i run PrepareAd. we have already 4 servers running Exchange 2010.

Thanks for all your support, i find the solution! Some ports was block by the firewall, i open it then i was able to install my server.
